Customer Terms of Service

These Customer Terms of Service ("Terms") form a binding agreement between you ("you", "your" or "user") and Tabu Co., Ltd., a company registered in Thailand under company registration number 0105569086462 ("Tabu", "we", "us" or "our").

These Terms govern your access to and use of the Tabu mobile applications, website and related customer-facing services (together, the "Platform").

By creating a Tabu account, accepting these Terms, making a Booking or otherwise using the Platform where acceptance is required, you agree to these Terms.

These Terms should be read together with:

  1. our Refund & Cancellation Policy;
  2. our Privacy Policy;
  3. our Cookie & Similar Technologies Policy;
  4. our Community Guidelines & Acceptable Use Policy;
  5. any Booking-specific terms displayed before confirmation; and
  6. any Event-specific or Venue-specific terms applicable to a Booking.

Where applicable law gives you rights that cannot lawfully be excluded or restricted, those rights continue to apply regardless of anything in these Terms.

1. About Tabu and These Terms

1.1 What Tabu is

Tabu is a social discovery and hospitality-booking platform.

Through the Platform, users may, depending on feature availability:

  1. discover restaurants, bars, clubs and other Venues;
  2. discover Events;
  3. make restaurant and Venue reservations;
  4. make Deposits or other prepayments;
  5. purchase Event tickets or table packages;
  6. connect with other users;
  7. create profiles;
  8. follow users and Venues;
  9. post and share content;
  10. use comments, Reactions, stories, tags and mentions;
  11. send direct messages;
  12. share plans and Booking activity;
  13. use location-based discovery;
  14. use The Scene and other Social Features; and
  15. access other features introduced by Tabu from time to time.

1.2 Customer Terms only

These Terms govern use of Tabu by customers and individual users.

Venues, Hosts and their business representatives are also subject to separate commercial agreements or business terms when using Tabu in that capacity.

1.3 Related terms

Different activities may be governed by additional terms.

For example, a particular Booking may have its own:

  1. Deposit;
  2. cancellation deadline;
  3. arrival deadline;
  4. Late Cancellation Charge;
  5. No-Show Charge;
  6. minimum spend;
  7. age requirement;
  8. dress code;
  9. ticket conditions; or
  10. other Venue or Event requirement.

Those conditions will be displayed or made available in connection with the relevant Booking.

Where an additional policy or Booking-specific term deals specifically with a matter covered only generally by these Terms, the more specific term applies to that matter, subject to applicable law.

1.4 Feature availability

Tabu evolves over time.

Features may be introduced, tested, changed, temporarily unavailable or discontinued.

The existence of a feature in these Terms does not guarantee that the feature is available to every user, Venue, location or device at all times.

2. Definitions

For these Terms:

"Booking" means a reservation, ticket purchase, table booking or other reservation transaction made or requested through Tabu.

"Booking Request" means a request submitted through Tabu that requires acceptance or confirmation before becoming a Confirmed Booking.

"Confirmed Booking" means a Booking that the Platform identifies as confirmed, whether confirmation occurs instantly or after acceptance by the relevant Venue or Host.

"Deposit" means a Booking-related prepayment, including a table deposit, minimum-spend prepayment or other amount identified as a Deposit when the Booking is made.

"Event" means an event, party, performance, experience or other ticketed or reservable event listed through Tabu.

"Host" means a third party, other than a Venue, that organises or supplies an Event listed on Tabu.

"Late Cancellation" has the meaning given in the Refund & Cancellation Policy.

"No-Show" has the meaning given in the Refund & Cancellation Policy.

"Platform" means Tabu’s customer-facing applications, website and related services and functionality.

"Social Features" means The Scene and Tabu’s profiles, follows, friend connections, posts, stories, comments, Reactions, direct messages, tags, mentions, social sharing, social discovery and related functionality.

"Tabu Service Fee" means a fee charged by Tabu to a customer for Platform, Booking, ticketing, facilitation or related services, where applicable.

"Tabu-Hosted Event" means an Event for which Tabu is itself identified as the organiser.

"User Content" means content submitted, uploaded, created, displayed, shared or transmitted by a user through the Platform.

"Venue" means a restaurant, bar, club, lounge or other hospitality or entertainment establishment listed through Tabu.

3. Eligibility and Age Requirements

3.1 Minimum account age

You must be at least 13 years old to create or maintain a Tabu account.

3.2 Users under legal adulthood

If you are under the age at which you may independently enter into a particular agreement, transaction or consent under applicable law, you must obtain the involvement or consent of your parent, legal representative or person exercising parental responsibility where required by law.

Tabu may require evidence of such consent where reasonably necessary.

3.3 Venue and Event age restrictions

Eligibility to hold a Tabu account does not mean that you are eligible to attend every Venue or Event.

Individual Venues and Events may have:

  1. minimum-age requirements;
  2. identification requirements;
  3. admission conditions; or
  4. requirements imposed by applicable law.

Where a Venue or Event is legally restricted to persons of a particular age, including a 20+ requirement where applicable in Thailand, you must satisfy that requirement.

3.4 No circumvention

You must not use Tabu to circumvent an applicable age or identification requirement.

A Confirmed Booking does not override a lawful Venue or Event age restriction and is not a guarantee of admission.

3.5 Age and identity verification

Tabu, a Venue or Host may request reasonable evidence of age or identity where necessary for:

  1. a Booking;
  2. admission;
  3. account safety;
  4. fraud prevention; or
  5. legal or regulatory compliance.

4. Your Account

4.1 Account information

You must provide accurate, current and complete account information.

This includes your date of birth and other information required to determine eligibility for Platform features or Bookings.

You must update information that becomes materially inaccurate.

4.2 One genuine account

Unless Tabu expressly permits otherwise, you should maintain one personal Tabu account.

You must not create:

  1. fake accounts;
  2. accounts impersonating another person; or
  3. additional accounts for the purpose of circumventing restrictions, suspensions, Booking controls or Community Guidelines enforcement.

4.3 Account security

You are responsible for taking reasonable steps to protect your login credentials and account.

Notify Tabu promptly if you believe your account has been accessed without authorisation.

4.4 Activity through your account

You are responsible for activity that you authorise through your account.

You will not be responsible merely because an unauthorised third party accessed your account where you did not authorise the activity and did not intentionally facilitate it.

5. Tabu's Role

5.1 Third-party Venues and Hosts

Except for Tabu-Hosted Events, Tabu primarily acts as the technology, discovery, Booking and payment-facilitation platform connecting users with Venues and Hosts.

The underlying hospitality or Event service is supplied by the relevant Venue or Host.

This includes matters such as:

  1. the meal or hospitality experience;
  2. Venue facilities;
  3. admission;
  4. Venue staff;
  5. food and beverage service;
  6. Event performance;
  7. security at the Venue;
  8. Venue-specific rules; and
  9. other services supplied directly by that Venue or Host.

5.2 Tabu's own responsibilities

Tabu remains responsible for obligations that Tabu itself expressly undertakes, including applicable obligations relating to:

  1. operation of the Platform;
  2. Tabu's own Service Fees;
  3. Tabu-administered Booking functionality;
  4. payment or refund obligations expressly assigned to Tabu under the Refund & Cancellation Policy;
  5. Tabu-Hosted Events;
  6. customer support concerning Tabu services; and
  7. any other obligation that cannot lawfully be excluded.

Nothing in these Terms is intended to avoid responsibility for Tabu's own acts or obligations where applicable law does not permit that responsibility to be excluded.

5.3 Venue and Event information

Information concerning a Venue or third-party Event may originate from the Venue or Host, including:

  1. prices;
  2. availability;
  3. menus;
  4. minimum spends;
  5. operating hours;
  6. age requirements;
  7. dress codes;
  8. Event programmes or line-ups;
  9. seating or spaces; and
  10. admission conditions.

Tabu takes reasonable steps to present this information through the Platform but does not guarantee that third-party information will always be error-free or unchanged.

5.4 Tabu-Hosted Events

Where an Event is expressly identified as a Tabu-Hosted Event, Tabu acts as the Event organiser.

A third-party Venue may nevertheless remain responsible for the premises, Venue operations, onsite hospitality and other services supplied by that Venue.

6. Booking Requests and Confirmed Bookings

6.1 Two Booking models

Tabu may support:

  1. instant Bookings, which become Confirmed Bookings when the Platform confirms them; and
  2. Booking Requests, which require acceptance or confirmation by the relevant Venue or Host.

6.2 Booking Requests

Submitting a Booking Request does not guarantee that the Booking will be accepted.

A Booking Request becomes a Confirmed Booking only when Tabu identifies it as confirmed.

6.3 Unsuccessful Booking Requests

Where a Booking Request is declined, expires or otherwise does not become a Confirmed Booking, any amount actually collected specifically for that Booking will be released, reversed or refunded as appropriate.

A temporary card authorisation may take additional time to disappear depending on the payment provider, card network and issuing bank.

6.4 Booking confirmation

A Booking confirmation will ordinarily contain or link to important Booking details such as:

  1. Venue or Event;
  2. date and time;
  3. party size;
  4. table, space or ticket type;
  5. Deposit or prepayment;
  6. Tabu Service Fee;
  7. cancellation deadline;
  8. arrival deadline;
  9. Late Cancellation or No-Show conditions; and
  10. other material Booking requirements.

6.5 Booking for a group

You may make a Booking involving other members of your party.

You are responsible for:

  1. providing accurate Booking information; and
  2. making relevant Venue, Event, age, admission and Booking requirements reasonably known to members of your party.

You do not, merely by making a Booking, accept the entire Tabu Customer Terms of Service on behalf of every other individual attending with you.

Each Tabu account holder accepts these Terms in relation to their own account and use of the Platform.

7. Prices, Tabu Service Fees and Payments

7.1 Prices

The Platform will display the material price information applicable to a Booking before confirmation.

Prices may include or separately display:

  1. Venue or Event charges;
  2. Deposit or prepayment;
  3. minimum-spend requirements;
  4. Tabu Service Fee;
  5. taxes where applicable; and
  6. other disclosed charges.

7.2 Tabu Service Fee

Tabu may charge a Tabu Service Fee.

The amount or calculation method will be disclosed before you confirm the relevant Booking.

The Tabu Service Fee may vary by:

  1. Booking;
  2. Venue;
  3. Event;
  4. Booking type; or
  5. service.

7.3 Payment processing

Payments made through the Platform are processed using Omise / Opn Payments and associated payment infrastructure.

Depending on the payment flow, funds may ultimately be settled to the relevant Venue or Host and Tabu may separately receive applicable Tabu fees or commissions.

7.4 Payment authorisation

By submitting a payment, you authorise the amounts clearly disclosed in the applicable payment flow to be charged to your selected payment method.

7.5 Card-secured reservations

Some reservations may require a payment method to secure the Booking without taking the full relevant amount immediately.

Where clearly disclosed before confirmation, a Late Cancellation Charge or No-Show Charge may subsequently be charged to the authorised payment method in accordance with:

  1. the Booking-specific terms;
  2. the Refund & Cancellation Policy; and
  3. applicable payment-provider requirements.

7.6 Amounts paid directly to a Venue

Tabu is not responsible for amounts separately incurred and paid directly to a Venue unless Tabu expressly handles that transaction through the Platform.

8. Cancellations, Refunds, Late Cancellations and No-Shows

8.1 Refund & Cancellation Policy

The Refund & Cancellation Policy forms part of these Terms and governs refunds, cancellations, Late Cancellations, No-Shows and applicable payment corrections.

8.2 General no-refund rule

Unless an express exception applies, Deposits, prepayments, minimum-spend prepayments, Event ticket purchases and Event table-package payments are non-refundable once made.

A voluntary customer cancellation does not ordinarily produce a refund.

8.3 Exceptions

A refund or payment correction may nevertheless apply where provided under the Refund & Cancellation Policy, including circumstances involving:

  1. complete cancellation by a Venue or Host;
  2. cancellation of a Tabu-Hosted Event;
  3. an express Booking-specific or Event-specific refund right;
  4. duplicate or incorrect charges;
  5. certain Platform or payment errors;
  6. an incorrectly applied Late Cancellation or No-Show Charge; or
  7. applicable law.

8.4 Venue or Host cancellation

Where a Venue or Host cancels a confirmed prepaid Booking or Event in full and the experience does not take place, Tabu will process the eligible refund in accordance with the Refund & Cancellation Policy.

8.5 Event postponement and rescheduling

A postponement or rescheduling does not automatically create a refund entitlement unless:

  1. the Event-specific terms provide otherwise; or
  2. applicable law requires otherwise.

8.6 No-Shows

A No-Show may result in:

  1. the disclosed No-Show Charge;
  2. a warning;
  3. a restriction on new Bookings;
  4. restriction of certain functionality; or
  5. account suspension where appropriate.

There is no fixed number of No-Shows that automatically results in suspension.

Tabu may consider frequency, circumstances, user history, impact on Venues and other relevant factors.

You may challenge an incorrectly recorded No-Show through Tabu's review process.

9. Event Tickets and Transfers

9.1 Third-party Events

For Events organised by a Venue or third-party Host:

  1. the Venue or Host is the organiser or underlying Event supplier; and
  2. Tabu provides applicable discovery, Booking, ticketing and payment-facilitation services.

9.2 Tabu-Hosted Events

Where Tabu is identified as the organiser, the Event is a Tabu-Hosted Event and Tabu assumes the organiser responsibilities expressly applicable to it.

9.3 Ticket conditions

Tickets may be subject to:

  1. admission time;
  2. age requirements;
  3. identification requirements;
  4. Event rules;
  5. Venue rules;
  6. transfer conditions; and
  7. other Event-specific terms displayed before purchase.

9.4 Transfers

Where Tabu makes an authorised transfer feature available, eligible Bookings or tickets may be transferred through that feature subject to the applicable conditions.

A recipient may be required to accept applicable Booking/Event terms and satisfy eligibility requirements.

9.5 Refund following transfer

Where an eligible refund becomes payable after a Booking or ticket has been transferred, the refund will ordinarily be returned to the original payment method.

9.6 Unauthorised resale

You must not counterfeit, duplicate, fraudulently transfer or commercially resell Bookings or tickets contrary to the applicable terms.

10. Venue Admission and the Underlying Experience

10.1 Admission

A Confirmed Booking does not guarantee admission where you or a member of your party fails to satisfy a lawful and properly disclosed admission requirement.

A Venue or Event may require compliance with conditions such as:

  1. age;
  2. identification;
  3. arrival deadline;
  4. dress code;
  5. safety or security procedures;
  6. conduct rules; and
  7. other lawful admission requirements.

10.2 Venue decisions

The relevant Venue controls onsite admission and Venue operations, subject to applicable law.

10.3 Refusal of entry

Where admission is refused because you fail to satisfy a disclosed requirement, the applicable payment remains subject to the Refund & Cancellation Policy.

Where you believe a Venue wrongly refused admission despite your compliance with the applicable conditions, the underlying admission dispute should ordinarily be raised with the Venue.

Tabu may nevertheless assist with a Booking or payment issue where:

  1. the Venue acknowledges that a refund is due;
  2. Tabu's Refund & Cancellation Policy provides a refund; or
  3. applicable law otherwise requires action.

11. Discovery, Recommendations and Placement

11.1 Discovery

Tabu may organise, rank, recommend or curate Venues, Events and content to help users discover relevant experiences.

11.2 Main factors

Depending on the feature, factors affecting discovery or ordering may include:

  1. location or neighbourhood;
  2. proximity;
  3. search terms and relevance;
  4. Venue or Event category;
  5. availability;
  6. timing;
  7. popularity or engagement;
  8. recency;
  9. Venues or Events you have viewed;
  10. previous Bookings;
  11. Venues you follow;
  12. activity of friends or connections where relevant;
  13. user preferences or inferred interests;
  14. editorial or Tabu curation;
  15. operational considerations; and
  16. commercial arrangements.

Not every factor is used in every surface and the weighting of factors may vary.

11.3 No disclosure of algorithms

Tabu does not disclose confidential technical algorithms, weighting formulas or information whose disclosure could facilitate manipulation, fraud or abuse of Platform ranking systems.

11.4 Commercial placement

Venues and Hosts may enter into commercial arrangements with Tabu that can affect whether, where or how prominently they are presented through certain discovery or promotional surfaces.

Where a placement constitutes paid or otherwise non-organic promotional content and applicable law requires it to be identified, Tabu will use an appropriate "Sponsored", "Promoted" or equivalent designation or indicator.

Such identification may be presented in a proportionate manner appropriate to the relevant interface while remaining reasonably understandable to users.

11.5 Promotion selection

Commercial or promotional placement may take into account factors such as:

  1. Venue or Event category;
  2. location;
  3. campaign timing;
  4. availability;
  5. relevance to the relevant discovery surface;
  6. commercial arrangements; and
  7. campaign criteria.

A commercial relationship does not necessarily mean that every appearance of the Venue or Event is sponsored.

12. The Scene and Social Features

12.1 Social Features

Tabu may provide Social Features including:

  1. profiles;
  2. profile photographs and bios;
  3. following;
  4. friend connections;
  5. posts;
  6. stories;
  7. photo sharing;
  8. comments;
  9. Reactions;
  10. tags and mentions;
  11. direct messaging;
  12. social discovery;
  13. shared Bookings or Venue activity; and
  14. related functionality.

12.2 Community Guidelines

Use of these features is subject to the Community Guidelines & Acceptable Use Policy.

You may be required to acknowledge or accept those Guidelines before using The Scene.

12.3 Reactions

Reactions are lightweight emoji or similar responses to social content.

They are not:

  1. public Venue reviews;
  2. professional Venue ratings; or
  3. verified assessments of a Venue.

12.4 Visibility

Certain profile and social information may be visible to other authenticated users according to the relevant Platform design, audience controls and settings.

Other content may be shared with specific audiences or connections depending on the feature.

You are responsible for considering the audience before voluntarily posting or sharing User Content.

12.5 Location and shared activity

Depending on your permissions and Social Feature choices, Tabu may display information such as:

  1. a Booking you choose to share;
  2. a Venue you indicate you are at;
  3. a general location or neighbourhood; or
  4. another social location status supported by Tabu.

The Platform does not intend to publicly display your raw device GPS coordinates to other users.

Location-data processing is further described in the Privacy Policy.

12.6 Blocking and reporting

Tabu provides tools to report users/content and block other users.

The exact effect of blocking may depend on the relevant feature.

13. Acceptable Use

You must not use Tabu to:

  1. commit or facilitate unlawful activity;
  2. make deliberately fraudulent or fake Bookings;
  3. engage in scams or payment fraud;
  4. impersonate another person;
  5. create accounts to evade enforcement;
  6. harass, threaten or stalk another person;
  7. post unlawful or infringing content;
  8. violate another person's privacy;
  9. distribute prohibited exploitative material;
  10. spam users;
  11. manipulate engagement, recommendations or Platform systems;
  12. scrape or systematically harvest Platform data without permission;
  13. circumvent security;
  14. introduce malicious software;
  15. use unauthorised bots or automated systems;
  16. counterfeit or fraudulently resell tickets;
  17. evade age or eligibility restrictions; or
  18. otherwise materially misuse the Platform.

The Community Guidelines provide more detailed standards and enforcement rules.

14. User Content

14.1 Ownership

You retain ownership of User Content that you own.

14.2 Licence necessary to operate Tabu

When you upload or submit User Content, you grant Tabu a non-exclusive, worldwide, royalty-free licence to:

  1. host;
  2. store;
  3. reproduce;
  4. display;
  5. transmit;
  6. technically format;
  7. resize or transcode;
  8. distribute through functionality you use; and
  9. otherwise process

that User Content as reasonably necessary to operate, provide, secure and improve the Platform and deliver the Social Features you request.

14.3 Platform promotion

Where User Content is shared publicly or through a public-facing Tabu feature, the licence may also permit Tabu to use reasonable excerpts or representations of that public User Content to promote or demonstrate the Tabu Platform, subject to applicable law and your privacy rights.

Tabu should not use private direct-message content as marketing material.

14.4 Duration

The licence generally ends when the relevant User Content is deleted from Tabu's active systems, except to the extent:

  1. the content has been shared with other users through functionality you chose to use;
  2. temporary backup copies remain;
  3. retention is reasonably necessary for safety, moderation, legal or dispute purposes; or
  4. applicable law requires continued retention.

14.5 Your rights

You must have the rights necessary to upload or share User Content.

You remain responsible for your User Content and must comply with the Community Guidelines.

14.6 Moderation

Tabu may remove, restrict or disable User Content in accordance with the Community Guidelines, these Terms and applicable law.

Material enforcement decisions are subject to the applicable notice and review process.

15. Tabu Intellectual Property

The Platform, including Tabu's:

  1. software;
  2. interface;
  3. design;
  4. logos;
  5. trademarks;
  6. databases;
  7. proprietary content; and
  8. underlying technology

is owned by or licensed to Tabu and is protected by applicable intellectual-property laws.

Subject to these Terms, Tabu gives you a limited, personal, non-exclusive, non-transferable right to use the customer Platform for its intended purpose.

You must not copy, exploit, reverse engineer or commercially reproduce Tabu's protected technology or content except where expressly permitted or where applicable law prevents such restriction.

16. Privacy and Personal Data

Tabu's processing of personal data is governed by the Privacy Policy and applicable data-protection law.

Your acceptance of these contractual Terms does not constitute blanket consent to every form of personal-data processing.

Where a particular activity requires consent under applicable law, Tabu will obtain that consent separately.

The Privacy Policy explains matters including:

  1. information Tabu collects;
  2. Booking data;
  3. Social Features;
  4. location;
  5. payment information;
  6. personalisation;
  7. marketing;
  8. disclosures to Venues and service providers;
  9. retention;
  10. international transfers; and
  11. your rights.

17. Third-Party Services

Tabu uses third-party providers to support services including:

  1. payments;
  2. mapping;
  3. authentication;
  4. cloud infrastructure;
  5. media hosting;
  6. communications; and
  7. other Platform functionality.

Where those providers process information or payments as part of Tabu's service, Tabu remains responsible for its own obligations under applicable law and its agreements with you.

Where you independently leave Tabu and access a separate third-party website or service, that third party's own terms and privacy practices may apply.

18. Customer Support and Complaints

18.1 Tabu Support

You may contact Tabu regarding issues involving:

  1. your account;
  2. Booking functionality;
  3. Tabu charges;
  4. refunds;
  5. incorrect No-Shows;
  6. technical problems;
  7. Community Guidelines enforcement;
  8. privacy matters through the appropriate privacy channel; or
  9. another matter relating directly to Tabu's services.

18.2 Venue complaints

Issues relating solely to onsite Venue service should ordinarily be raised directly with the relevant Venue or Host.

Tabu may assist where a Venue issue also creates a Booking, payment, refund or Platform problem.

18.3 Formal complaints process

For a formal complaint concerning Tabu:

  1. Tabu will normally acknowledge the complaint within 3 Business Days;
  2. Tabu aims to resolve ordinary complaints within 15 Business Days; and
  3. where a matter is complex or depends on another party, Tabu may require additional time and will provide a reasonable status update.

These are service targets rather than guarantees where circumstances reasonably require additional investigation.

18.4 Information required

Tabu may ask you for information reasonably required to investigate the complaint, including:

  1. Booking reference;
  2. transaction information;
  3. relevant Venue/Event;
  4. communications; and
  5. supporting information or evidence.

19. Restrictions, Suspension and Termination

19.1 Proportionate enforcement

Tabu may restrict features, suspend an account or terminate access where reasonably justified by matters including:

  1. breach of these Terms;
  2. breach of the Community Guidelines;
  3. repeated or serious No-Shows;
  4. fraud;
  5. payment abuse;
  6. serious safety issues;
  7. security threats;
  8. unlawful activity;
  9. repeated serious misuse;
  10. attempts to evade previous enforcement; or
  11. a legal or regulatory requirement.

There is no universal fixed number of violations that automatically results in suspension.

19.2 Factors considered

Tabu may consider:

  1. severity;
  2. frequency;
  3. intent;
  4. actual or potential harm;
  5. prior account history;
  6. evidence;
  7. your explanation;
  8. whether the conduct is repeated;
  9. immediate safety or fraud risk; and
  10. whether a less restrictive measure would be effective.

19.3 Notice

Where Tabu materially restricts or suspends an individual user, Tabu will ordinarily provide:

  1. the general reason;
  2. the nature of the restriction;
  3. expected duration where applicable; and
  4. a method to request review.

Information may be limited where disclosure would create a material safety, fraud-prevention, security or legal risk.

19.4 Immediate action

Prior warning is not required where immediate action is reasonably necessary because of:

  1. a Serious Violation;
  2. credible fraud;
  3. urgent safety or security risk;
  4. unlawful activity;
  5. a competent-authority requirement;
  6. deliberate enforcement evasion; or
  7. another comparably serious circumstance.

19.5 Termination by Tabu

Where applicable law requires advance notice before permanent termination, Tabu will provide the required notice and reasons.

For ordinary termination not based on a serious or repeated violation, Tabu will provide advance notice where required, including any applicable minimum notice period.

Serious or repeated violations specifically identified in these Terms or the Community Guidelines may justify faster or immediate termination where permitted by law.

19.6 Review and appeal

You may request review of a material enforcement decision through: support@tabubookings.com

Tabu may:

  1. uphold;
  2. modify;
  3. shorten;
  4. reverse; or
  5. replace

the original action after review.

19.7 Existing Bookings

A restriction concerning Social Features does not automatically cancel an existing Confirmed Booking or ticket.

Tabu may take action concerning a Booking where reasonably connected to:

  1. fraud;
  2. payment abuse;
  3. safety;
  4. eligibility;
  5. serious Booking misuse;
  6. applicable law; or
  7. other conduct materially connected to that Booking.

Any financial consequence remains subject to the Refund & Cancellation Policy.

19.8 Closing your account

You may stop using Tabu and request account deletion at any time.

Closing your account does not automatically cancel a separate existing Booking. Any Booking cancellation must be handled under the applicable Booking flow and Refund & Cancellation Policy.

20. Platform Availability and Disclaimers

20.1 Platform availability

Tabu aims to provide reliable Platform functionality but does not guarantee uninterrupted or error-free availability.

Temporary outages, maintenance, technical problems or circumstances outside Tabu's reasonable control may occur.

20.2 Third-party hospitality services

Except for responsibilities expressly undertaken by Tabu, Tabu does not control the day-to-day performance of independent Venues or Hosts.

Accordingly, to the extent permitted by law, Tabu is not responsible for matters exclusively attributable to a third party, including:

  1. quality of Venue service;
  2. food or hospitality quality;
  3. Venue staffing;
  4. onsite conduct of Venue personnel;
  5. Event performance by a third-party Host;
  6. lawful admission decisions; or
  7. other underlying third-party services.

20.3 Other users

Tabu does not guarantee the identity, behaviour, truthfulness or reliability of another user merely because that person has a Tabu account.

20.4 Nightlife and in-person activities

Some Venues and Events involve crowds, late operating hours and other circumstances associated with in-person hospitality and entertainment environments.

Tabu does not supervise users' conduct at independent third-party Venues or Events.

21. Limitation of Liability

21.1 Non-excludable liability

Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited.

In particular, these Terms do not exclude Tabu's responsibility to the extent such exclusion would be unlawful for:

  1. Tabu's own fraud;
  2. wilful misconduct;
  3. obligations expressly undertaken by Tabu under the Refund & Cancellation Policy; or
  4. another liability that cannot lawfully be excluded.

21.2 Third-party matters

To the extent permitted by law, Tabu is not liable for loss caused solely by:

  1. an independent Venue;
  2. an independent Host;
  3. another user;
  4. inaccurate third-party information where Tabu could not reasonably have prevented the issue; or
  5. a third-party service outside Tabu's reasonable control.

21.3 Indirect losses

To the extent permitted by applicable law, Tabu is not responsible for indirect or consequential losses that were not reasonably foreseeable as a result of Tabu's breach.

21.4 Direct losses

Where Tabu is legally responsible for a direct loss resulting from Tabu's own breach, responsibility will be determined in accordance with applicable law.

22. Responsibility for Serious User Misconduct

To the extent permitted by applicable law, you are responsible for direct losses or legitimate third-party claims caused by your:

  1. intentional fraud;
  2. deliberate unlawful use of the Platform;
  3. intentional security attack;
  4. infringement of third-party intellectual-property rights through User Content you knowingly lacked the right to provide; or
  5. other intentional serious misconduct in breach of these Terms.

Any obligation to reimburse Tabu will apply only to the extent the relevant loss or claim was actually caused by your conduct and such obligation is enforceable under applicable law.

This section does not require an ordinary consumer to indemnify Tabu merely because they used the Platform or had a good-faith dispute with a Venue.

23. Governing Law and Dispute Resolution

23.1 Governing law

These Terms are governed by the laws of the Kingdom of Thailand.

This does not deprive a consumer of any mandatory protection that cannot validly be excluded by contractual choice of law.

23.2 Internal resolution first

If you have a dispute with Tabu, you are encouraged to first use the complaint process in Section 18 so that Tabu has an opportunity to investigate and attempt to resolve the matter.

23.3 Mediation and alternative resolution

Where appropriate, the parties may voluntarily agree to use mediation or another lawful alternative dispute-resolution process.

Neither party is required by these Terms to submit every consumer dispute to mandatory arbitration.

23.4 Courts

Where a dispute cannot be resolved, either party may bring proceedings before a competent court in Thailand, subject to any mandatory jurisdiction or consumer-protection rules applicable to the dispute.

23.5 Regulatory rights

Nothing in these Terms prevents you from exercising any right to submit a complaint to a competent consumer, data-protection, digital-platform or other regulatory authority.

24. Rewards and Future Programmes

Tabu may introduce Points, loyalty benefits, rewards, referrals, membership benefits or similar programmes in the future.

Where introduced:

  1. additional programme rules may apply;
  2. the applicable rules will be made available before or when you participate;
  3. promotional points or rewards will not constitute cash, stored value or property unless Tabu expressly states otherwise and applicable law permits; and
  4. fraud or deliberate programme abuse may result in cancellation of improperly obtained benefits.

Tabu will not apply detailed expiry, devaluation or forfeiture rules that were not disclosed to you under the applicable programme terms.

25. Changes to These Terms

25.1 Changes

Tabu may update these Terms where reasonably necessary because of:

  1. changes to the Platform;
  2. new features;
  3. changes to Booking or payment functionality;
  4. safety or security requirements;
  5. legal or regulatory changes;
  6. commercial or operational changes; or
  7. clarification or correction of the Terms.

25.2 Notice

Tabu will notify relevant users of material changes in accordance with applicable law.

Where applicable digital-platform rules require advance notice for changes to matters covered by those rules, Tabu will provide the required period of advance notice, ordinarily at least 15 days where that requirement applies, unless an applicable exception permits otherwise.

25.3 No detrimental retroactive changes

A later version of these Terms will not ordinarily:

  1. impose a new charge retrospectively;
  2. remove an accrued refund right; or
  3. retrospectively make lawful past conduct a violation

in relation to an existing Booking or past activity.

25.4 Changes requiring consent

Where applicable law requires your express consent rather than notice, Tabu will obtain that consent.

Your continued use of Tabu will not be treated as substitute consent where the law requires a different form of agreement.

26. Changes to or Discontinuation of the Platform

Tabu may introduce, modify or discontinue features over time.

This does not permit Tabu to disregard existing confirmed contractual obligations, applicable refund rights or mandatory law.

Where Tabu permanently discontinues all or a material part of the Platform and applicable digital-platform law requires advance notice, user assistance or remediation, Tabu will comply with those requirements.

27. General Terms

27.1 Entire agreement

These Terms together with the policies and specific terms incorporated into them form the agreement governing your customer use of Tabu.

27.2 Severability

If a provision of these Terms is held invalid or unenforceable, it will be interpreted or modified only to the minimum extent reasonably necessary, and the remaining provisions continue to apply.

27.3 No waiver

If Tabu does not enforce a provision on one occasion, that does not automatically waive its right to enforce it later.

27.4 Assignment

You may not transfer your Tabu account or your contractual rights under these Terms except where Tabu expressly permits a feature such as a Booking transfer.

Tabu may transfer its rights and obligations in connection with a legitimate corporate restructuring, merger, acquisition or sale of the relevant business, subject to applicable law and without reducing non-excludable user rights.

27.5 Force majeure

Neither party is responsible for delay or failure caused by circumstances outside its reasonable control to the extent permitted by law.

This does not remove an obligation to provide a refund or other remedy where applicable law or the Refund & Cancellation Policy nevertheless requires one.

27.6 Headings

Headings are provided for convenience and do not change the meaning of these Terms.

28. Language

These Terms should be made available in Thai and English.

Where both versions are provided, the Thai version may be designated as the controlling version for use in Thailand, subject to applicable law and provided the translations are intended to reflect materially the same rights and obligations.
